General terms and conditions of delivery Rusch Minerals Wholesale

Article 1. Applicability

1. The general terms of delivery apply to all orders and offers of Rusch Mineralen Groothandel (hereinafter referred to as RM).
2. It is only possible to deviate from the applicability of these general terms and conditions in writing.
3. Accepting an offer or placing an order implies that you accept the applicability of these terms and conditions.

Article 2. Quotations and offers

1. All our quotations and offers are without obligation and are made subject to availability. R.M. expressly reserves the right to change prices if this is necessary on the basis of (statutory) regulations.
2. An agreement is concluded only when R.M. has sent an order confirmation by e-mail, in the case of the web shop.
3. R.M. may refuse your order without any liability for damages, in which case R.M. will notify you as soon as possible.
4. A contract is concluded when an order confirmation is handed over to the buyer by e-mail.

Article 3. Prices and payments

1. The prices stated for the products and services offered are in euros, excluding VAT. 
2. Payment of invoice is made by Ideal or Sisow to IBAN: NL55ABNA 0597 8167 78 in the name of Rusch Minerals.
3. If agreed, payment can be made by prepayment to IBAN: NL55ABNA 0597 8167 78 in the name of Rusch Minerals. Upon receipt of payment, the order will be sent.
4. In case of prepayment by bank, the buyer has 3 days after the order date to transfer the invoice amount due. If the buyer does not pay within 3 days, R.M. has the right to cancel the order without notifying the buyer.
5. For shipping costs in the Netherlands, the standard charge is €6.07 excluding VAT per parcel up to 23 kg. Shipments over 100 kg are sent by pallet. Prices for this are on request and will be communicated before shipment.
6. For orders with a delivery address outside the Netherlands, different shipping costs apply.
7. Orders with an invoice amount above €250 excluding VAT and under 23 kg will be delivered in the Netherlands without shipping costs.
8. R.M. applies a minimum order amount of €100.- excluding VAT.

Article 4. Delivery

1. Whenever possible, ordered products are shipped within 2 to 3 working days after receipt of order with the exception of holidays, buying trips or illness.
2. The stated delivery time is indicative, the buyer cannot derive any rights from it.
3. Should products not be in stock, the delivery time may be deviated from, this will always be done in consultation with the customer.
4. If R.M. is unable to deliver the items, it will at all times refund to the customer any amount paid in advance for the item in question.
5. Products will be delivered upon receipt of payment, this may be deviated from by agreement.

Article 5. Retention of title

1. After full payment, the product is the property of the buyer. The risk in respect of the products shall pass to the buyer already at the time of delivery

Article 6. Liability

1. Upon delivery of the goods, the customer is obliged to examine whether they comply with the agreement. If they do not, you must inform R.M. as soon as possible, in any case within 3 working days.
2. If the goods delivered to you do not meet expectations, please contact R.M. by telephone. 
   Returns of products and/or orders will only take place by mutual agreement.
   Returned goods will only be refunded if they are returned unused and in their original packaging.
   The return must be sufficiently stamped by you.
   The purchase amount will be credited within 14 days and, if necessary, returned to the account from which it came.
   R.M. will not refund the cost of the return shipment.

Article 7. Communication

1. R.M. shall not be liable for misunderstandings, mutilation, delays or improper transmission of orders and messages resulting from the use of the Internet or any other means of communication in the traffic between the customer and R.M. or between R.M. and third parties, insofar as they relate to the relationship between the customer and R.M., unless and insofar as there has been intent or gross negligence on the part of R.M..

Article 8. Intellectual and industrial property rights

1. The buyer must respect all intellectual and industrial property rights vested in the products supplied by R.M. fully and unconditionally.
2. R.M. does not guarantee that the products delivered to the buyer do not infringe any (unwritten) intellectual and/or industrial property right of third parties.

Article 9. Personal data

1. R.M. respects the privacy of all buyers. R.M. uses the buyer's data exclusively for handling the order. All buyer data are stored by us in compliance with the provisions of the Personal Data Protection Act (WBP).
2. All your personal data can be requested, corrected, withdrawn or deleted free of charge at any time
3. R.M. does not pass on your details, including address and e-mail address, to third parties without the buyer's express consent.

Article 10. Force majeure

1. Without prejudice to its other rights, R.M. shall, in the event of force majeure, be entitled, at its discretion, to suspend the execution of your order, or to dissolve the agreement without judicial intervention, by informing you of this in writing, without any form of compensation.
2. Force majeure means any shortcoming that cannot be attributed to R.M., because it is not due to its fault and is not for its account by virtue of the law, legal act or generally accepted practice.

Article 11. Applicable law and competent court

1. Dutch law applies exclusively to all rights, obligations, offers, orders and agreements to which these Conditions apply, as well as to these Conditions. All disputes between the parties shall exclusively be submitted to the competent court in the Netherlands.
